The General Assembly of Shareholders has passed a resolution to appoint Deloitte Touche as the Independent Auditor of 2007-2015 annual financial statements and consolidated financial statements. The same Assembly also appointed the same firm to audit the half-year financial statements in accordance with Italian legislative decree no. 58 of 24 February 1998. Said mandates are conferred subject to the following conditions:

• auditing the financial statements of Gruppo Editoriale L’Espresso SpA for an annual sum of €98,000 for 1400 hours of work;
• auditing the consolidated financial statements of the Group for an annual sum of €12,000 for 150 hours of work;
• auditing solely of the half-year financial statements for an annual sum of €30,000 for 450 hours of work;
• verification of proper bookkeeping procedures and correct recording of management data in the book entries, for an annual sum of €10,000 for 160 hours of work.

Said annual fees shall be periodically adjusted to take into consideration any variations over time. An annual adjustment of these fees shall be equivalent to the percentage variation in the ISTAT cost of living index (base value as at January 2007).
