On 23 April 2012, the Board of Directors nominated the Internal Control Committee and the Compensation Committee, while it did not consider it necessary to set up a Nomination Committee. The Board also established that, in carrying out their activities, the committees should comply with the recommendations laid out in the voluntary self-regulatory code (Codice di Autodisciplina delle società quotate in Borsa).

The committees consist of three or more members, a majority of whom are independent, and minutes are taken. In carrying out their activities, the committees have the right to access any such information and company departments as may be necessary for performing their duties, and they may invite non-members to take part in their meeting
